1. Acceptance of Terms
These Terms and Conditions ("Terms") govern your use of the Service Invoice Pro mobile application ("App"), operated by Clear Echo Labs ("we," "our," or "us"). By downloading, installing, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.
2. Description of Service
Service Invoice Pro is a mobile invoicing tool designed for service professionals. The App allows users to:
- Create and manage invoices and estimates
- Store client contact information
- Generate professional PDF invoices and estimates
- Track invoice status (Draft, Sent, Paid)
- Attach job photos to invoices
- Save and reuse job templates
- Share invoices via email or other applications
The App is a document creation and management tool. It is not an accounting, bookkeeping, tax preparation, or payment processing service.
3. Eligibility
You must be at least 18 years of age to use the App. By using the App, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
4. Account & Authentication
The App may be used without creating an account for basic functionality. If you choose to sign in using Sign in with Apple, you agree to Apple's terms of service in addition to these Terms.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to your account.
5. Subscription Plans & Billing
5.1 Free Plan
The Free plan includes:
- Up to 3 invoices and 3 estimates
- Basic PDF export with watermark
- Storage for up to 5 client contacts
- Basic invoice and estimate preview
5.2 Pro Plan
The Pro plan is available as a subscription at $6.99 per month or $49.99 per year and includes:
- Unlimited invoices and estimates
- Watermark-free PDF exports
- Custom business logo on invoices
- Unlimited client storage
- Estimate-to-invoice conversion
- Invoice duplication
- Unlimited templates
- Unlimited photo attachments
- Invoice archive and history
- Priority support
5.3 Billing
- All subscriptions are processed through the Apple App Store.
- Payment will be charged to your Apple ID account at confirmation of purchase.
- Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period.
- Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate of your selected plan.
- You can manage or cancel your subscription in your Apple ID account settings.
- No refunds will be provided for the unused portion of a subscription term. Refund requests must be directed to Apple.
5.4 Price Changes
We reserve the right to change subscription pricing. Any price changes will take effect at the start of the next billing cycle following notice of the change. Your continued use of the App after a price change constitutes acceptance of the new price.
6. User Responsibilities
By using the App, you agree to:
- Provide accurate and truthful information in your invoices, estimates, and business profile.
- Use the App only for lawful business purposes.
- Comply with all applicable local, state, national, and international laws and regulations.
- Not use the App to create fraudulent, misleading, or deceptive invoices or estimates.
- Not attempt to reverse engineer, decompile, or disassemble the App.
- Not use the App in any way that could damage, disable, or impair the service.
- Maintain your own backup of important business data.
7. Intellectual Property
The App, including its design, code, graphics, user interface, and content, is owned by Clear Echo Labs and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for your personal or business use, subject to these Terms.
You retain all rights to the content you create using the App, including your invoices, estimates, client data, and business information.
8. Data & Privacy
Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to the collection and use of your information as described in the Privacy Policy.
9. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the App will be uninterrupted, timely, secure, or error-free; that the results obtained from use of the App will be accurate or reliable; that any errors will be corrected; or that the App will meet your specific business, tax, or legal requirements.
The App is not a substitute for professional accounting, tax, or legal advice. You are solely responsible for ensuring that your invoices comply with applicable laws and regulations in your jurisdiction.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLEAR ECHO LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, data, or business opportunities
- Errors or inaccuracies in invoices or calculations
- Loss of data due to device failure, App deletion, or any other cause
- Any unauthorized access to your data
- Any interruption or cessation of the service
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.
11. Indemnification
You agree to indemnify, defend, and hold harmless Clear Echo Labs and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of the App, violation of these Terms, or violation of any applicable law.
12. Account Deletion
You may delete your account at any time through the App's Settings. Upon account deletion:
- All locally stored data (invoices, estimates, clients, templates) will be permanently removed from the device.
- Any active subscription will remain active until the end of the current billing period. You must cancel your subscription separately through the Apple App Store.
- Account deletion is irreversible. We cannot recover deleted data.
13. Termination
We reserve the right to suspend or terminate your access to the App at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.
14. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by updating the "Last updated" date and, where appropriate, providing notice within the App. Your continued use of the App after changes are posted constitutes your acceptance of the revised Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the use of the App shall be resolved in the courts of the State of Texas.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
17. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Clear Echo Labs regarding the use of the App and supersede all prior agreements, understandings, and communications.
